Welcome to BarBridge. These Terms of Service govern your use of the BarBridge platform and all associated services. Please read them carefully before using the Platform.
1. Acceptance of Terms
By accessing or using BarBridge ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.
These Terms constitute a legally binding agreement between you and BarBridge. By clicking "Continue with Google" or otherwise creating an account, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.
2. Description of Service
BarBridge is an online marketplace that connects students preparing for the Philippine Bar Examination with qualified coaching attorneys ("Coaches"). The Platform provides:
- A directory of verified Coaches with published programs and pricing
- Tools for enrollment, scheduling, and session management
- In-app messaging between students and coaches
- Assessment creation, delivery, and grading
- Progress tracking with goals, milestones, and check-ins
- Payment facilitation and record-keeping
BarBridge acts as an **intermediary platform** — we connect students and coaches but do not provide legal education, legal advice, or coaching services directly. Coaches are independent professionals, not employees of BarBridge.
3. Eligibility
To use BarBridge, you must:
- Be at least 18 years of age
- Have a valid Google account for authentication
- Provide accurate and complete profile information
- If registering as a Coach, hold a valid Philippine Bar admission and be in good standing
BarBridge reserves the right to verify Coach credentials and to suspend or terminate accounts that provide false or misleading information.
4. User Accounts
You are responsible for maintaining the security of your account. You agree to:
- Not share your account credentials with others
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
BarBridge may assign you one or more roles (Student, Coach, Assessor, Admin) that determine your access and permissions on the Platform.
5. Coach Responsibilities
If you register as a Coach, you agree to:
- Provide accurate information about your qualifications, credentials, and experience
- Deliver coaching services with professionalism and due diligence
- Honor your published schedule and pricing
- Respond to student communications in a timely manner
- Comply with all applicable Philippine laws and regulations related to professional services
BarBridge does not guarantee a minimum number of students or income. Coaches are independently responsible for the quality and content of their coaching services.
6. Student Responsibilities
If you register as a Student, you agree to:
- Provide accurate information about your educational background and bar exam preparation goals
- Attend scheduled sessions or provide reasonable notice of cancellation
- Complete payments for enrolled programs as agreed
- Use the Platform respectfully and in accordance with these Terms
- Understand that coaching services are supplementary and do not guarantee bar exam passage
7. Payments and Fees
**Pricing** — Coaches set their own prices for programs and sessions. BarBridge displays these prices on Coach profiles and program listings.
**Platform Fee** — BarBridge charges a platform fee on each transaction, which is deducted from the Coach's earnings. The current fee structure is disclosed during Coach onboarding.
**Payment Methods** — The Platform currently supports external/manual payment verification. When online payments are enabled, they will be processed through third-party payment providers (e.g., PayMongo). BarBridge does not store credit card numbers.
**Refunds** — Refund policies are set by individual Coaches and stated in their program details. Disputes should first be resolved directly between the Coach and Student. If unresolved, either party may contact BarBridge for mediation.
**Tax Obligations** — Coaches are responsible for their own tax obligations. BarBridge may be required to report payment information to the Bureau of Internal Revenue (BIR) as applicable.
8. User Content
You retain ownership of content you create on the Platform, including messages, assessment answers, profile information, and uploaded files.
By posting content on BarBridge, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to operate the Platform.
You agree not to post content that:
- Is defamatory, abusive, threatening, or harassing
- Infringes intellectual property rights of any third party
- Contains illegal or harmful material
- Impersonates another person or entity
- Constitutes spam, advertising, or unauthorized solicitation
BarBridge reserves the right to remove content that violates these Terms and to suspend accounts that repeatedly violate content guidelines.
9. Intellectual Property
The BarBridge platform, including its design, code, logos, and documentation, is the intellectual property of BarBridge. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written permission.
Assessment content created by Coaches remains the intellectual property of the respective Coach. Students may not redistribute assessment materials without the Coach's consent.
10. Disclaimers
BarBridge is provided "as is" and "as available" without warranties of any kind, either express or implied.
We do not guarantee that:
- The Platform will be uninterrupted, error-free, or secure at all times
- Coaching services will result in passing the Philippine Bar Examination
- Coach credentials or representations are complete or accurate, despite our verification efforts
- Assessment scores are predictive of actual bar exam performance
BarBridge is not a law school, review center, or educational institution. We are a technology platform that facilitates connections between independent Coaches and Students.
11. Limitation of Liability
To the maximum extent permitted by Philippine law, BarBridge shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the total fees you have paid to BarBridge in the 12 months preceding the claim.
This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
12. Account Termination
You may delete your account at any time through your profile settings or by contacting us at support@barbridge.ph.
BarBridge may suspend or terminate your account if you:
- Violate these Terms of Service
- Provide false or misleading information
- Engage in fraudulent activity
- Harass other users
- Fail to resolve payment disputes after reasonable notice
Upon termination, your access to the Platform will cease. Data retention after termination is governed by our Privacy Policy.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.
Any disputes arising from these Terms or your use of the Platform shall be resolved through:
1. **Good faith negotiation** between the parties
2. **Mediation** through a mutually agreed mediator
3. **Arbitration** under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI)
The venue for any legal proceedings shall be the courts of Quezon City, Philippines.
14. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will notify you through in-app notifications or by posting a notice on the Platform.
Your continued use of BarBridge after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you should discontinue use of the Platform.
